ShengQuan Aged Care Service Ltd ACN 626 497 756(Company) is undertaking an initial public offering of its fully paid ordinary shares (Shares).  The Company proposes to raise up to $3 million by issuing up to 3 million shares at $1.00 per share (Offer) pursuant to a prospectus lodged with the Australian Securities & Investments Commission (ASIC) on 13 December 2019 (Prospectus).

The Offer will only be made pursuant to the Prospectus and full details of the Offer are set out in the Prospectus.

APPLICATIONS


This Prospectus is subject to an exposure period of seven days from the date of lodgement of Prospectus with ASIC, or such other period (not exceeding 14 days), as ASIC may require (Exposure Period).  The purpose of the Exposure Period is to enable the Prospectus to be examined by market participants prior to the raising of funds under the Offer. Examination may result in the identification of deficiencies in the Prospectus and in those circumstances, any application that has been received may need to be dealt with in accordance with section 724 of the Corporations Act 2001(Cth) (Corporations Act).


Application forms will not be included in the Prospectus during the Exposure Periodhowever application forms will be included in the Prospectus after the Exposure Period.

No preference will be conferred on applications received in the Exposure Period. The Corporations Act prohibits any person from passing on to another person the application form (as contained in the Prospectus) unless it is attached to or accompanied by a complete and unaltered version of the Prospectus. The Company will not accept a completed application form if it has reason to believe that the applicant has not received a complete and unaltered copy of the Prospectus. Any person may obtain a paper copy of the Prospectus by contacting the Company prior to the Closing Date for the Offer.

Terms and abbreviations defined in the Prospectus have the same meaning in this Supplementary Prospectus. To the extent of any inconsistency between the Prospectus and this Supplementary Prospectus, this Supplementary Prospectus will prevail.


The second supplementary prospectus (Second Supplementary Prospectus) intended to be read with the prospectus dated 13 December 2019 (Prospectus) and the supplementary prospectus dated 13 January 2020 (Supplementary Prospectus) issued by ShengQuan Aged Care Service Ltd (ACN 626 497 756) (Company). The Second Supplementary Prospectus is dated 17 January 2020 and was lodged with the Australian Securities and Investments Commission (ASIC) on that date.
